# Terms of Service

> Terms governing use of RuAPI services

These Terms of Service ("Terms") govern your access to and use of the services provided by RuAPI (the "Service", "we", "us", "our"). By creating an account or using the Service, you ("you", "user") agree to these Terms.

If you do not agree, do not use the Service.

## 1. Service description

RuAPI is an API gateway that provides access to artificial intelligence models from third-party providers (e.g., OpenAI, Anthropic, Google, xAI, DeepSeek) through a unified, OpenAI-compatible and Anthropic-compatible interface. The Service:

* Routes API requests to upstream model providers.
* Provides genuine models with no substitution or degradation, at transparent prices.
* Bills usage in USDT (Tether) or USDC at provider rates.
* Does not include or guarantee any specific model availability — upstream providers may add, change, or remove models at any time.

## 2. Eligibility and account

To use the Service you must:

* Be at least 18 years old (or the legal age of majority in your jurisdiction).
* Provide accurate registration information.
* Maintain the security of your account credentials and API keys.
* Be solely responsible for all activity under your account.

We may refuse, suspend, or terminate accounts at our sole discretion, including for violation of these Terms or applicable law.

## 3. Acceptable use

You may not use the Service to:

* Generate, distribute, or facilitate child sexual abuse material (CSAM).
* Plan, encourage, or assist violent crimes, terrorism, or harm to persons or critical infrastructure.
* Develop or refine biological, chemical, nuclear, or radiological weapons.
* Engage in fraud, identity theft, or evasion of sanctions.
* Generate malicious code, malware, ransomware, or tools designed to compromise computer systems.
* Spam, scrape, denial-of-service, or otherwise abuse the Service or upstream providers.
* Resell raw API access or rebrand the Service without our express written agreement.
* Violate the acceptable use policies of any upstream model provider.

We may suspend or terminate accounts and forfeit balances connected to violations.

## 4. Payments

* The Service uses prepaid balances. You can fund your balance in USDT (Tether) or USDC through supported networks (TRC20 / BEP20 / Polygon), or by bank card (Visa / Mastercard), processed by Stripe.
* Per-token charges follow transparent rates; discounts may apply on your first top-up and for VIP status.
* Cryptocurrency payments are final once confirmed. Refunds for either payment method are subject to the [Refund Policy](/en/legal/refund), including its 7-day window: top-ups are used to prepay capacity with upstream model providers shortly after they are received, and that prepayment cannot be recovered.
* Card payments appear on your statement as **RUAPI.AI**. If you have a question about a charge, contact us before raising a dispute with your bank — we can usually resolve it faster.
* We are not a licensed money service operator or financial institution. Funds received are treated solely as advance payment for services.

## 5. Service availability

The Service is provided on an **"as-is"** and **"as-available"** basis. We strive for high uptime but do not guarantee uninterrupted operation. Causes of disruption include but are not limited to:

* Upstream provider outages or rate limiting.
* Maintenance, updates, or upgrades.
* Internet, network, or infrastructure failure.
* Force majeure events.

## 6. Intellectual property

* The RuAPI brand, software, documentation, and original content are our intellectual property.
* Outputs generated by upstream AI models are subject to those providers' terms and applicable law; we make no representation about ownership or licensing of model outputs.
* You retain ownership of inputs you submit (subject to upstream providers' processing of those inputs).

## 7. Disclaimers and limitation of liability

To the maximum extent permitted by the laws of the Hong Kong Special Administrative Region:

* We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
* We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

## 8. Indemnification

You agree to indemnify and hold harmless RuAPI, its officers, employees, agents, and affiliates from any claim, loss, or expense arising out of your use of the Service in violation of these Terms or applicable law.

## 9. Changes

We may modify these Terms at any time. Material changes will be notified via email or in-app notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

## 10. Governing law and dispute resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China, without regard to conflict of law principles. Any dispute arising from or related to these Terms shall be submitted to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.
